JOB SUMMARY |
Responsible for general legal affairs of assigned business unit(s). Familiar with standard concepts, practices and procedures within the practice of general corporate, commercial law, commercial contracts, as well as general familiarity with related fields, including employment, real estate, intellectual property, litigation/dispute resolution, anti-trust, import/export, anti-corruption, and international law. Relies on experience and judgment to plan and accomplish goals. Analytical problem solver who works closely with business units’ senior managers to implement strategic initiatives and minimize legal risks. An extensive degree of professional creativity, discretion, and latitude is required.
PRINCIPLE DUTIES AND RESPONSIBILITIES |
- Responsible for general legal affairs of business units within the assigned business unit(s). Among other duties:
- Handles general commercial legal matters, including standard practices for domestic and foreign sales, purchases, distribution and sales representation, supply arrangements, real estate purchases, sales or leases, and related matters; support development of consistent standard forms and negotiation of special agreements as needed
- Assists and coordinates with other members of Legal Department on specialty legal matters, such as employment/labor, environmental, compliance, and litigation/dispute resolution, and takes lead responsibility on selected matters based on discussion with other members of the Legal Department, especially when situation involves on-going involvement in commercial affairs of business
- Coordinates overall intellectual property strategy with business unit senior managers and manages individual intellectual property matters with SPX-designated outside counsel for the business units
- Partners with outside counsel on various matters involving assigned business unit(s), including litigation/dispute resolution, real estate, acquisitions & divestitures, and other areas as needed
- Develops knowledge of strategy, plans, and issues of each assigned business unit
- Provides legal counsel to managers of assigned business units on wide range of topics and issues
- Plays key role in ensuring assigned business unit(s) comply with laws and regulations; stays abreast of laws and regulations through professional reading, electronic professional websites, continuing legal education and internal counsel.
- Assists in coordinating various business unit functions with corporate counterparts (e.g. human resources, environmental, health & safety, accounting, risk management, tax, and business operations excellence) to assure complete and timely communications, especially on significant transactions or on new policies
- Under the SPX Compliance and Ethics Program serves as Compliance Manager for assigned business unit(s) and works with Sr. Manager of Compliance and Business Unit Presidents to implement the Compliance and Ethics Program
- Provides on-going support and education to assigned business units on compliance with SPX Code of Conduct and Corporate policies through,education, counseling, training and reminders on other compliance initiatives
- Maintains high standards of ethics and integrity

- Is very experienced in general corporate and commercial law, particularly in drafting, reviewing, editing and negotiating a variety of commercial contracts

EDUCATION AND EXPERIENCE |
Required Education / Experience
- Significant experience in a related position in a corporate environment and/or major law firm
- A qualifying law degree (LLB) or a non-law degree followed by a Postgraduate Diploma in Law (GDL) and either:
- Legal Practice Course (LPC) followed by a training contract with a law firm, leading to admission to the Roll of Solicitors; or
- Completed SQE1 and SQE2, followed by two years of Qualifying Work Experience, leading to admission to the Roll of Solicitors.
